Responsibilities

We are currently seeking a junior Associate to join the Corporate practice in our Hong Kong office, where we regularly advise market-leading corporate trust providers on matters ranging from new issuances of debt to indenture compliance, liability management matters and defaults arising after the initial issuance. We represent clients throughout Asia serving in various roles, including trustee, various agency functions, security trustee and common collateral agent. Our Asia-based team regularly advises on issuances of debt securities governed by New York law, English law and Hong Kong law, and has extensive experience handling settlements through DTC, Euroclear/Clearstream and CMU. We also represent corporate trust providers on a wide range of matters, including the removal of guarantors and release of collateral, negotiating intercreditor arrangements and amendments to the underlying transaction documents made without seeking consent of holders.

  • Review and negotiation of offering, transaction, security and closing documents (including legal opinions)
  • Managing closing and settlement procedures

Qualifications / Person Specification

  • Qualified in Hong Kong, Singapore, the UK or any of the U.S. states
  • The ideal candidate will have 1-3 years of relevant experience in debt capital markets; Corporate Trust experience highly preferred
  • Excellent spoken and written language skills in English are needed. Mandarin language skills are preferred, but not essential
  • Excellent organizational skills
  • Strong sense of responsibility and ownership
  • Able to work independently, efficiently
  • Strong attention to details and emphasis on quality
